1. Introduction

Welcome to Motionize.AI. These Terms and Conditions ("Terms") govern your use of the Motionize.AI platform and services ("Service") operated by Motionize BV ("we", "us", or "our"), a company registered in the Netherlands.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Service Description

Motionize.AI provides AI-powered content generation services, including but not limited to:

• Image generation and editing
• Video generation
• Audio and speech generation
• Face animation and lip-sync
• Other AI-powered creative tools

3. Account Requirements

To use our Service, you must:

• Be at least 16 years of age. By creating an account, you represent and warrant that you are at least 16 years old.
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

6. Credits, Payments, and Subscriptions

6.1 Credit System

Our Service operates on a credit-based system. Each generation consumes a certain number of credits depending on the tool and settings used.

• Free users receive a limited number of welcome credits upon registration
• Pro subscribers receive monthly credit allocations based on their subscription plan
• Additional credits can be purchased separately
• Credits are non-refundable and non-transferable
• Unused credits from monthly allocations do not roll over

6.2 Subscriptions

Pro subscriptions are billed on a recurring basis (monthly or annually) until cancelled. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

6.3 Refund Policy

Due to the nature of our digital services, we generally do not offer refunds for purchased credits or subscription fees. However, we may consider refund requests on a case-by-case basis for service issues caused by our platform.

7. Intellectual Property

The Service and its original content (excluding user-generated content), features, and functionality are and will remain the exclusive property of Motionize BV and its licensors. Our Service is protected by copyright, trademark, and other laws of the Netherlands and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• We do not warrant that the Service will be uninterrupted, secure, or error-free
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim

You understand and agree that AI-generated content may contain errors, inaccuracies, or unexpected results. You are solely responsible for reviewing and verifying any generated content before use.

9. Indemnification

You agree to defend, indemnify, and hold harmless Motionize BV and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of and access to the Service
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property or privacy rights
• Any content you upload or generate using the Service

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and all associated data
• Any unused credits will be forfeited
• Provisions of these Terms that by their nature should survive termination shall survive

11. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Utrecht, Netherlands.

If you are a consumer in the European Union, you may also be entitled to bring proceedings in the courts of your country of residence.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
